This page is to give information to Dragon Oil shareholders who have share certificates.
You should make sure that your address information is up-to-date. Check your share certificate.. if you’ve moved since the address on your certificate you need to contact Capita Registrars.

Once your address is up-to-date Capita Registrars should be sending you a proxy voting card in the post. You will fill this in and mail it back.
The voting packs from Capita Registrars contain a “book” document detailing the scheme and a voting card. The voting card is actually two voting cards in one; a blue one and a white one. The blue one is for voting on the court meeting, the white one is for voting on the EGM. You should fill both of these out and send them back in the supplied prepaid return envelope.
Unless you know someone who will be attending the court meeting and EGM in person and they’ve agreed to vote for you; you should appoint the chairman of the meeting to vote on your behalf (this is the default -ie: leave the box blank). I’ll obviously be voting “Against” for everything. Sign and print your name and the date and it’s ready to go.
Alternatively – it is also possible to vote online at capita’s website instead – see below:
You may instead vote online on capita registrar’s website. You need your voting card and the “Investor code” number that is underneath the barcode on your vote card. Then proceed to https://investor.capitacorporateregistrars.ie/sharereg/user/app/navigate/companymenu.asp.
Search for “DRAGON OIL PLC”.
You will then come to a screen with several options – the one you want is the unlocked padlock icon next to “Proxy Voting”.
When you get to the login page you should enter your LAST NAME and the Investor Code from your vote card.
You will then see a screen with two options, one to vote on the scheme and one to vote on the EGM.
I would advise you to open each of these options in a new window since you can’t easily get back to that screen without repeating the process from scratch.
It may well also be worth giving Capita a ring to make sure they have correctly processed your votes.
You will probably also soon be contacted by Georgeson consultancy. They are a company who has been retained by ENOC to try and get you to give them your proxy vote. If you give them your proxy vote they will vote for ENOC’s scheme. Ignore them and submit your own vote!

If you are a certificated shareholder and have voted electronically through the Capita Registars website, you can still change your vote to “AGAINST” if you mistakenly, or due to lack of prior information about this takeover scheme, voted “For”.
Your “AGAINST” vote will SUPERCEDE any previous vote.

Have received my documentation today (Friday 20th Nov) from Capita for my shares i hold in certificates.
My concern is that my NO vote via the chairman may get “lost” in the count.
Any way around this? Have not been contacted by Georgesons yet.

Have received my documentation ( Friday 20.11 ) from Capita.
and returned with my NO vote ie. I crossed the against boxes.
I also have not received a call from Georgesons and look forward to hurling abuse at them if they dare. My wife and I also hold DGO shares in 2 seperate ISA’s with selftrade who have given me all this “best endeavers” nonsense.
As I have already voted against the offer with my share certificates would my votes count from the shares I hold with selftrade ?

Oscarino, – I think the answer is “yes”, because each share counts as one vote going towards the total of Yes or No, and we need over 25% of those who vote, to vote No.

I have certificated and nominee DGO shares.
I have received the package from Capita with respect to certificated shares – these obviously are in my name.
However, I am also expecting a “Corporate Actions” letter from Barclays Stockbrokers (online account) with respect to the nominee held shares – I believe that I must instruct them to act on my behalf for the amount of shares they hold in the nominee account – (I say this because usually dividends are paid to the nominee account and not the true beneficiary).
For safety sake I would chase up those nominee accounts and get them to send you a “Corporate Actions” letter or somehow instruct them by phone if possible.
Every vote counts … as Hughie used to say.

I’m glad I got on line to see what the consensus on the ENOC offer was.The first I new of the deal was when a big envelope with a voting form and a glossy but barely readable Dragon Oil brochure was delivered a few days ago, the gist of which was to recommend acceptance of the ENOC offer. Since reading your website I have registered my NO votes. Thanks for the inoformation.

Just voted against both. Wasn’t happy to have received this documentation to sell as it was a long term investment for me with a company I thought would do very well in the future.
Only heard someone mention this on LBC this morning or wouldn’t have realised there were objections against it, and like one of the other posters this would have been either left or sent in as agreeing to it.

and now I’m fairly confident that, after looking at the iii forum, that you can override a previously registered paper “yes” vote by simply voting “NO” through the Capita Registrars website.

My wife and I have over £40,000s worth of shares in D/Oil.
The voting papers have not been received yet fromTDWaterhouse, who
hold the certificates.
We have held these shares for years and wish to vote NO!
As we live in London can we attend to vote?
If so where is it being held?

The scheme document is available on the “www.dragonoil.com” home page at the end of the short “Welcome to Dragon Oil” section – the document gives meeting times etc.
Please also look also at the “iii” discussion forum – there is a the link at the top right of this page. (You don’t have to register, but in your case, it may be better if you have further questions).
It seems many people have had problems with TDWaterhouse. But it seems you CAN VOTE NO
by TELEPHONE.
It sounds as if you have a nominee account with them, hence they will have to vote on your behalf under your instruction – so please phone them and instruct them to VOTE NO (AGAINST) on your behalf for the Court Meeting and EGM Resolutions.
As for attendance and voting, I believe that you have to be a certificated share holder i.e. have the certicates in your name and ideally in your possession to vote, but I believe you can attend.
Finally, I do not know the deadline for voting through TDW, but some else should be able to supply this.
