Today (Tuesday 17th of November) my copy of the Dragon Oil Shareholders register has finally arrived. In a box. Just over 3000 pages of printed text just slightly too big to scan in a normal scanner. After just over two weeks of sandbagging and delays this is what Capita Registrars finally sent me.

I think there is a lot that could be done to improve this process.. I understand they don’t want to make it too easy for direct junk mail marketeers however in situations such as the one we’re in with Dragon Oil there needs to be a better way for shareholders to communicate with one another. I would suggest some kind of electronic messaging system (preferably not email) maybe something a bit more like the RNS system where shareholders could send messages which would be automatically picked up by all the share websites and maybe also displayed on the websites of corporate registrars like capita.

I begged Capita Registrars to give me an electronic copy of the register.. I argued with at least 4 or 5 people over the phone – none of whom could think of any reason why they shouldn’t give me an electronic copy but were also adamant that they would not. Eventually I was put through to man who gave his name as Patrick Brown who gave me this spurious excuse – “It’s because with an electronic copy we don’t know we’re giving it to *you*”. When I pointed out he could quite easily stick a CD in the box along with the 3000 pieces of paper he became flustered and basically told me to piss off.
I don’t think the current system would really prevent any direct marketeers from harvesting this data – indeed my costs so far have been relatively modest – it should still be <£500.00 once the scanning is finished. The paper register delivery method presents much more of an impediment to shareholder communication than it would to junk mailers. I do wonder to what extent there is influence from Dragon Oil management (or even just corporate managements in general) on Capita Registrars (who are a supplier to Dragon in maintaining Dragon's shareholder register) to make life difficult for activists. Capita Registrars said that they were going to tell Dragon Oil that I had requested a copy of the register. While I have no proof of this It doesn't seem at all unlikely to me that when informed of this Dragon Oil asked them to stall as long as possible.
Anyway.. after so many delays, I'm not sure if there will be any time left to make use of the register (Dragon is going to send out it's own communication any day now and then people will start voting) and indeed many people are now visiting this site so it may not be that important any more either.
I am going to proceed with having the register scanned anyway. Once this is done, if anyone wants to help sending out mailings I propose something like this..
If we can get around 200 people to help (there are about 1000 active visitors to this site at the moment). I will assign each of the volunteers 15 pages of the register for them to attempt to contact as many people as they can starting with those with the greatest number of shares.

One final note about the whole paper register thing and how ridiculous it is; It occurs to me that I have not signed any agreement regarding what I should use the register for. If I wanted too I don't believe there is anything to stop me from selling this list to a direct marketeer once I'm finished with it to recoup my costs (I won't though I promise!).
Other things to do - please keep mentioning this site when you post comments on other news sites and on share forums! It really is helping to drive traffic here as well as increasing the site's profile on google.

I am re-alerting the Foolish community on the TMF DGO board.
I would be pleased to attempt help contact shareholders. You would probably contact me more quickly through the TMF board rather than here – unless you have that facility here. I am reluctant to just put my e.address on a public board.

Hi, I live abroad so I can’t be of any use to you in contacting members. My Dragon shares – like many other shareholders – are in a nominee account with an on line broker. I have contacted them to say I wish to vote (No) and have received a standard type of reply “You will receive notifcation of the Scheme of Arrangement once our ‘Corporate Actions’ Department has been informed by the market.” This worries me as it does not really positively answer my request to be able to vote. What else can I do?

I have 10,000 shares with DGO via Halifax saredealing. Have e-mailed halifax who have said I will get from them what they get regarding letters, forms etc. Will definitely Vote ‘NO’

Hello Robert,
I have just had a thought in the shower, as one does.
We, the shareholders, currently still own Dragon Oil, but correct me if I am wrong.
As share holders, surely we have the right to publicise “your site” through the “www.dragonoil.com” website.
If this is to be a fair battle, then I believe that the minority shareholders must get the webmasters of Dragon Oil to post your sites web address, so that the minority shareholders know where more information can be obtained.
Any opinions on this … constructive one please. How can we enforce this?
I’m going to copy this to other forums on your site, just in case it gets missed.

I have only 800 shares and have been informed by Motley Sharedealing through which I purcashed the shares of the corporate action but they have not indicated how I am able to vote. Has ayone else bought through this route/

Have received my package from Capita Registars today – scheme document and the blue and white voting cards. I have voted “Against” online through the Capita Registrars site as per the instructions posted on this site under “Certificated Shareholders” and there were no problems. You can print out your vote details for the record.

I used this method as I now reside in Portugal and am wary of the ever decreasing timescales.
Electronic vote or paper vote – will we ever know if all of them will be counted, we have to assume that this is not a corrupt process.

Robert-Just received first page of holders–mixed response re obtaining phone numbers-however positive response from people ive spoken to–you wouldnt beleive that Geargesons came on the phone soliciting for ENOC whilst I was working the list–I shall be carding the non -phone types—Doctor

just sent out 32 letters inc one to Geogia USA , quite few to Ireland and the rest in UK. Made one phone call to a lady who had no idea about the voting although she received all the paperwork from Capita. Assumed it was a done deal because enoc own over 50%. I gave my opinion of the matter and she is now calling her daughter to advise her to do the same. So its worth getting in touch with all those on the registrar. If 300 people do as i did today that’s nearly 10,000 voters saying NO to enoc and their pathetic offer. Once all this is behind us we may well see some much larger bids coming in from the Chinese or Chevron. But we MUST keep contacting those on the registrar.

I believe the closing date for registering accounts is the 27th Nov. therefore posting documents out may not be the best way. (miss the deadline)
As a comment – the documents I have read do not seem to help people how to register for voting rights – although I may have missed something.

Made a few phonecalls tonight, I’m limited by personal circumstances. Spoke with some very charming people, most were aware of the situation and said that they would follow up by taking a look at this site. Some have already voted “No”. I have left messages on answer phones, so I hope these will take a look also.
In my opinion, as the deadline(s) near, as others also point out on the “iii discussion forum” this whole affair needs to broadcast on the major TV news and papers.
This is too rushed a process, where minority shareholders just haven’t been given a chance to make valid decisions.
P.S. Still haven’t received any “Corporate Actions” forms form Barclays … I will remain calm and patient though.

It just sprung to mind … perhaps that reason that the institutions that are holding our nominee accounts want this deal to go ahead is because Dragon Oil has lots and lots of shareholders with small shareholdings. They make their money from “transactions”, so this is a great opportunity for them to get back some wonderful commission on every sale (purchase) … if I understand correctly.

I’m reluctant to register with the “iii” discussion forum, but hope that someone from there will pick up this point. It concerns the requirement that a Scheme to be passed must also have more that 50% of the voters voting in favour. I note that this is stated in the literature pointed to, but please could you tell me where this is stated in the Dragon Oil Scheme Of Arrangement. I think that you have raised an immensely valid point and this should be made more clear everywhere as all minority holders must be made aware of this. I assume that Dragon Oil have omitted this “requirement” from their issued Scheme Of Arrangement for obvious reasons.

Martyn – page 12. Also it is a majority of those voting, not a majority of the scheme shareholders (the 48.5% of total shareholders).
An article on this very point is pending approval.

Thanks Doggy for your prompt reply and yes I believe that you are right and we look forward to the article on this point.
I did know that that clause was in place in the document, but read it and read it many times, but still couldn’t convince myself that it was covering both voting categories. For those interested, the clause is on page 12 and a few others:
“the approval by a minority in number of Scheme Shareholders representing three-fourths (75 per cent) or more in value of the Scheme Shares held by such holders present and voting either in person or by proxy, at the Court Meeting (or at any adjournment of such meeting)”
Quite clear isn’t it!
But it’s important that minority shareholders understand that, irrespective of how many shares they hold, they are allowed one vote towards achieving the “majority in number” voting part of the scheme. (And I know that Rob has pointed this out on this site, but I have a short memory and there’s lots going on)
I know this seems obvious to the gifted in these matters, but I’m just speaking out for some of the less talented in these matters … i.e. me!
